Terms of Service
1. Who we are
OTC MVP LLC (“we,” “us”), 4611 E Chandler Blvd, Ste 112 #4300, Phoenix, AZ 85048, builds and hosts websites for small SEC-reporting public companies. We are a web vendor. We are not a broker-dealer, investment adviser, or investor relations firm, and nothing we publish is investment advice.2. The service
Our services include website design, development, hosting, and a filings feed pulled from public SEC and OTC Markets sources. We do not communicate with investors on a client’s behalf, and we do not provide promotion, advisory, or investor relations services.3. No guarantee of outcomes
Using our service does not guarantee any change in stock price, trading volume, or investor interest. We build websites, not results.4. Accuracy
Information on client sites comes from each company’s own public filings and releases. We work to keep it current, but the authoritative source is always the company’s own SEC filings on EDGAR and its disclosures on OTC Markets.5. Client content
A client warrants that it has the right to use any content, images, or materials it provides to us, and is responsible for the accuracy of everything it supplies.6. Intellectual property
Clients own the content and branding of their own site. OTC MVP retains rights to the underlying templates, code, and tooling used to build it.7. Limitation of liability
This website and the information on it are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, OTC MVP LLC and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or market value, including any change in a company’s stock price, trading volume, or investor interest, arising out of or related to this website or our services, even if we have been told such damages are possible.
Our total liability for any claim arising out of or related to this website or our services will not exceed the greater of (a) the fees you paid us for the specific service giving rise to the claim during the twelve (12) months before the event that caused it, or (b) one hundred U.S. dollars (US$100).
Nothing in these terms limits liability that cannot be limited under applicable law, such as liability for fraud, gross negligence, or willful misconduct. If you have a signed service agreement with us and it sets different limits, the service agreement controls.
8. Termination
Termination terms, including the data export and domain handoff provisions, are set out in each client’s service agreement. A client’s investor site does not go dark on its own shareholders without a grace period.9. Governing law
These terms, and any dispute arising out of or related to them, this website, or our services, are governed by the laws of the State of Arizona and applicable federal law of the United States of America, without regard to conflict-of-law rules.
Any lawsuit arising out of or related to these terms, this website, or our services must be brought exclusively in the state courts located in Maricopa County, Arizona, or in the United States District Court for the District of Arizona, sitting in Phoenix. You and OTC MVP each consent to the personal jurisdiction of, and venue in, those courts. Either party may still ask any court of competent jurisdiction for an injunction to protect its intellectual property or confidential information.
